1. Overview

Welcome to iKonX ("the App", "we", "our", "us"), a mobile marketplace operated by iKonX App LLC, a subsidiary of ViZion Protocol Entertainment LLC, located in Clearwater, Florida 33759.

iKonX is designed for the music industry, connecting professionals and fans across ten industry verticals: Fan, Artist, Events, Label, Manager, Promoter, Podcast, Studio, Sponsorship, and Influencer. The App facilitates paid messaging, feature bookings, reviews, and other professional interactions.

By creating an account or using iKonX, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App. We reserve the right to update these Terms at any time; continued use constitutes acceptance of any changes.

2. Eligibility & Accounts

2.1 Age Requirement

You must be at least 18 years of age to create an account on iKonX. By registering, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

When signing up, you select an industry vertical that defines your account type:

2.3 Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@ikonx.app if you suspect unauthorized use.

2.4 One Account Per Person

Each individual may maintain only one iKonX account. Creating multiple accounts to circumvent suspensions, bans, or fee structures is prohibited.

3. Subscription

3.1 iKonX Membership

iKonX offers a premium membership subscription at $9.99 per month, processed exclusively through Apple In-App Purchases (IAP). The subscription unlocks full access to messaging, bookings, and other premium features.

3.2 Auto-Renewal

Your subscription automatically renews each month unless cancelled at least 24 hours before the end of the current billing period. Apple manages all billing; iKonX does not process subscription payments directly.

3.3 Cancellation

You may cancel your subscription at any time through your Apple ID settings (Settings > Apple ID > Subscriptions). Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time.

3.4 Free Trial

If a free trial is offered, it will be clearly disclosed before purchase. Unused portions of a free trial are forfeited upon purchasing a subscription.

3.5 Restore Purchases

If you reinstall the App or switch devices, you can restore your active subscription via Settings > Restore Purchases.

3.6 Apple End User License Agreement

Your use of the iKonX app is also subject to Apple's Standard End User License Agreement (EULA). In the event of any conflict between these Terms and Apple's Standard EULA regarding the use of the App, Apple's Standard EULA shall prevail with respect to your use of the App as obtained through the Apple App Store.

4. Platform Fees

Key Fee Structure: iKonX charges a 10% platform fee ON TOP of the listed price. The artist receives 100% of their listed price. The buyer pays the listed price plus the 10% platform fee plus applicable payment processing fees. Withdrawals are subject to a 5% fee plus standard payment processing costs.

4.1 Buyer Fees

When a buyer (fan or other user) initiates a paid message or feature booking, a 10% platform fee is added to the artist's listed price. Standard payment processing fees are also included in the total charged to the buyer. The artist receives 100% of their listed price. For example, if an artist lists a feature at $100, the buyer's total includes the $100 artist price, the $10 platform fee, and applicable payment processing fees.

4.2 Withdrawal Fees

When an artist withdraws earnings from their iKonX wallet to their connected bank account, a 5% withdrawal fee is deducted. Standard payment processing fees also apply to each withdrawal in addition to the 5% fee. The minimum withdrawal amount is $25.00. Withdrawals typically process within 2–5 business days.

4.3 Payment Processing

All payments are processed securely through Stripe. Payment processing fees are included in the total charged to the buyer at checkout. Artists receive their full listed price. Withdrawal transactions are also subject to standard payment processing fees as described in Section 4.2.

Refund eligibility is determined on a case-by-case basis. See Section 6 (Feature Bookings) for booking-specific refund terms.

5. Paid Messaging

5.1 How It Works

Artists set a per-message price in their profile settings. When a fan sends a paid message, the artist's listed price plus the 10% platform fee is charged to the fan. Artists may also configure a limited number of free introductory replies.

5.2 Content Filtering

All messages are subject to content moderation. Messages containing prohibited content (see Section 10) may be filtered, flagged, or removed. Users who repeatedly violate content policies may have their messaging privileges suspended.

5.3 Verified Members Only

Paid messaging is available exclusively to verified iKonX members with an active subscription.

5.4 No Guarantee of Response

While artists are encouraged to respond to paid messages promptly, iKonX does not guarantee any response time or that a response will be provided.

6. Feature Bookings

6.1 Services

Artists may offer professional services through the booking system, including but not limited to: music features, vocal recordings, production, mixing, mastering, live appearances, and other creative services as listed in their profile.

6.2 Booking Process

When a buyer creates a booking, the total amount (listed price + 10% platform fee) is charged immediately. The booking enters a workflow: pending → paid → in progress → delivered → completed.

6.3 Intellectual Property Rights

Unless otherwise agreed in writing between the buyer and artist, all intellectual property created through a booking is owned by the artist. The buyer receives a non-exclusive license to use the delivered work for personal and commercial purposes. Artists retain the right to be credited for their contribution.

6.4 Cancellations

Buyers may request cancellation of a booking before the artist marks it "in progress." Once work has begun, cancellation is at the artist's discretion.

6.5 Refunds

Refund requests must be submitted within 14 days of the booking date. Refunds may be issued if:

Refund decisions are made at the sole discretion of iKonX. Platform fees may or may not be refundable depending on the circumstances.

6.6 Disputes

If a dispute arises between a buyer and artist regarding a booking, either party may contact support@ikonx.app. iKonX will review the dispute and may mediate, but is not obligated to resolve disputes between users. iKonX's decision in any dispute is final.

7. Industry Professional Terms

7.1 Artist Responsibilities

Artists and other industry professionals who offer services on iKonX agree to:

Artists receive 100% of their listed price for both messages and bookings. Earnings are credited to the artist's in-app wallet after successful payment processing. The 10% platform fee is charged to the buyer on top of the artist's price.

7.3 Tax Responsibility

Artists and professionals are solely responsible for reporting and paying all applicable taxes on their earnings. iKonX may issue tax forms (e.g., 1099) as required by law. It is your responsibility to provide accurate tax information when requested.

7.4 Name and Likeness

By creating an artist or professional profile, you grant iKonX a non-exclusive, royalty-free, worldwide license to use your name, likeness, profile image, and professional description for the purpose of operating and promoting the platform. This license terminates upon account deletion, except for uses already in circulation.

8. User-Generated Content & Moderation

8.1 Content You Post

You retain ownership of content you upload (songs, images, reviews, messages). By posting content, you grant iKonX a non-exclusive license to display, distribute, and store that content as necessary to operate the platform.

8.2 Content Moderation

iKonX employs content filtering and moderation to maintain a safe environment. We reserve the right to remove or restrict any content that violates these Terms or our Community Guidelines.

8.3 Reporting

Users can report objectionable content or behavior through in-app reporting features (available on profiles and in conversations) or by emailing support@ikonx.app. We review all reports and take appropriate action, typically within 24 hours.

8.4 Blocking

Users may block other users at any time. Blocking prevents the blocked user from viewing your profile, sending messages, or initiating bookings. Blocking is mutual and immediate.

8.5 Contact Information Sharing

Sharing personal contact information (phone numbers, external social media handles, email addresses) in paid messages for the purpose of circumventing the platform's payment system is prohibited.

9. Intellectual Property

9.1 iKonX IP

The iKonX name, logo, app design, and all associated trademarks are the property of iKonX App LLC. You may not use our trademarks without prior written permission.

9.2 DMCA Notice

If you believe your copyrighted work has been used on iKonX without authorization, you may submit a Digital Millennium Copyright Act (DMCA) takedown notice to:

9.3 Counter-Notices

If you believe content was removed in error, you may submit a counter-notice to the same email address. Counter-notices must comply with DMCA requirements.

iKonX is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

iKonX acts as a marketplace facilitator. We connect buyers and service providers but are not a party to the transactions between them. We do not guarantee the quality, safety, legality, or delivery of any services offered by artists or other professionals on the platform.

We do not warrant that the App will be uninterrupted, error-free, or secure. We are not responsible for any loss of data, revenue, or opportunities arising from use of the App.

12. Limitation of Liability

To the maximum extent permitted by applicable law, iKonX App LLC, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the App.

Our total aggregate liability for any claims arising from or related to these Terms or the App shall not exceed the greater of (a) the amount you paid to iKonX in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless iKonX App LLC, ViZion Protocol Entertainment LLC, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

14. Account Termination

14.1 By You

You may delete your account at any time through Settings > Account > Delete Account. Deleting your account will remove your profile and personal data, subject to our data retention requirements. Active subscriptions must be cancelled separately through Apple.

14.2 By iKonX

We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms or our Community Guidelines. Upon termination:

Sections 9, 11, 12, 13, and 15 survive termination of your account and these Terms.

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

15.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Pinellas County, Florida.

15.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Pinellas County, Florida, provided the claim falls within the court's jurisdictional limits.

15.5 Informal Resolution

Before initiating arbitration, you agree to first contact us at support@ikonx.app and attempt to resolve the dispute informally for at least 30 days.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and iKonX regarding the App.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Notices

We may provide notices to you via the App, email, or other reasonable means. Notices to us must be sent to support@ikonx.app.

16.6 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.
